Message to All DBSC Members
Yesterday evening at a DBSC Extra Ordinary General Meeting, the decision was taken by majority vote (for 74, against 6, with 3 abstentions) for our sailing club to convert from a Private Members Club to a Limited Company Limited by Guarantee. This became effective immediately, with our club now being called The Dalgety Bay Sailing Club Limited.
All members were briefed by Donald Adrian, Commodore and Nial Tosh who as a member, and more recently as a former member, has been part of the sub-committee charged with finding a solution to the issue of members’ liabilities ready for membership approval at an EGM. A healthy debate followed with a good number of questions and comments made, helping many people with their final voting decision. Thank you to all who contributed to the evenings debate.
The current Management Committee immediately transfer to being Directors of the new Limited Company and we will be calling an AGM soon, that will cover the final business of the Private Members Club (i.e. sign off last years AGM minutes), as well as the usual AGM business and of course, on the same basis of as we have done in the past, look for nominations to be voted onto becoming Directors of our new Limited Company. We will also use that AGM to review and if required amend the current Articles of Association, which replaces our Constitution.
If people have views and opinions with regards to omissions in the Articles of Association that are fresh in their mind after last nights EGM, please feel free to send these to The Vice Commodore in order that we can collate as part of preparation for the AGM.
On behalf of the vast majority of members, we are all very much indebted to Donald Adrian, Nial Tosh and Richard Higgins for getting our club to this position and safeguarding our future. They of course delivered this with the help of all of the current Management Committee. We can all now look forward to the 2013 sailing season, where regattas, training and other events can be run at our club again as we have done in the past. To all of them, a huge thank you.
